Legal Associate Manager


The Legal Associate Manager is responsible to:

(1) Conduct contract reviews;

(2) Draft standard contracts including insurance specific contracts;

(3) Perform exhaustive legal research;

(4) Oversee the managing and maintaining of company records and contracts management database;

(5) Provide support to the Office of the Corporate Secretary:

  • Organize and prepare the materials for the Board, Board Sub-Committees, and Management Committee meetings.
  • Provide legal support for the conduct of the Board, Board Sub-Committees, and Management Committees.


A. Legal Counsel

  • Attend to business as usual legal matters of the Company including providing legal advisory to functional units and drafting of standard legal agreements/documents.
  • Responsible of promoting legal awareness among local management and staff.
  • As may be directed, liaise with the relevant regulators such as Insurance Commission, Anti-Money Laundering Council, and Securities and Exchange Commission with regard to regulatory filings and other regulatory matters, and render legal interpretation on legislation, rules and regulations, issuances, circulars and the like.
  • As may be directed, work on regulatory changes or legal issues with Insurance Commission or the Philippine Life Insurance Association on consultation papers or workgroups for any issue related to the life insurance industry.

B. Assistant Corporate Secretary

  • Assists the Corporate Secretary in:
    • Ensuring that board of directors’ decisions are implemented.
    • Contacting shareholders and board members, arranging annual meeting of shareholders, board and committee meetings, attending meetings as well as taking minutes.
  • Establishing and maintaining secretarial practices in order to ensure reliable and accurate data, essential for business operations such as record keeping of corporate records, compliance with board governance laws, rules and regulations.
  • Oversee the Office of the Corporate Secretary (OCS) in making sure that all deliverables in relation with the corporate secretarial function (which includes but is not limited to release of notice and agenda, drafting of minutes, recording of issuance of shares, filing of regulatory requirements) are timely completed.

C. Other tasks:

  • Oversee the maintenance and management of company’s records and contracts management database.

Skills & Experience Required

  • Must be a graduate of law from a reputable school and an active member of the Philippine bar.
  • At least 3-5 years of experience in the practice of the law especially in corporation law and labor law.
  • At least 3-5 years of experience in conducting corporate secretarial functions
  • Proficient in taking minutes of the meeting.
  • Well versed in using English language, both in written and spoken form.
  • Must be extremely organized and detail-oriented.
  • Willing to work in Bonifacio Global City, Taguig, Philippines.
